Terms of Service

By registering for and using Synchro ERP ("the Platform"), you agree to these Terms of Service. Please read them carefully.

1. Platform Overview

Synchro ERP is a B2B procurement platform connecting buyers with verified vendors for the purpose of requesting and submitting quotations (RFQs). The Platform is available to registered businesses only.

2. Account Registration

• You must register with a valid corporate email address (no personal email providers).
• You are responsible for maintaining the confidentiality of your account credentials.
• Vendor accounts require admin approval before accessing RFQ features.
• One company may only register one buyer account (one corporate email domain per company).

3. Buyer Obligations

• RFQs must contain accurate, good-faith procurement requests.
• Buyers may not submit RFQs for purposes other than genuine procurement.
• Buyers are bound by their accepted quotations and must follow through with accepted vendors.
• RFQ quotas are subject to subscription plan limits (BR-2.7).

4. Vendor Obligations

• Vendors must maintain accurate company and profile information.
• Submitted quotations represent genuine offers and must be honoured if accepted.
• Vendors must not contact buyers through channels other than those provided by the Platform before quote acceptance.

5. Prohibited Conduct

• Submitting false or misleading information.
• Attempting to identify anonymous vendors before quote acceptance.
• Using the Platform for any unlawful purpose.
• Interfering with or disrupting the Platform's infrastructure.

6. Subscription and Payments

Buyer accounts are subject to subscription plans with defined RFQ quotas. Payments are processed securely via Paymob. Subscription terms and cancellation policies are described in your account's Subscription page.

7. Intellectual Property

All content, trademarks, and software on the Platform are the property of Synchro ERP or its licensors. You may not reproduce or distribute Platform content without prior written consent.

8. Limitation of Liability

Synchro ERP facilitates connections between buyers and vendors but is not party to any transaction. We are not liable for the quality, delivery, or performance of goods or services exchanged between parties.

9. Termination

We reserve the right to suspend or terminate accounts that violate these Terms. Users may close their accounts at any time by contacting support.

10. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Disputes shall be resolved in Saudi Arabian courts.
